For custom statements of work (SOW) or enterprise terms:
1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement between you (“Client,” “Brand,” or “User”) and The Viral Matrix (“Company,” “we,” or “our”), governing your use of our marketing services, creator matchmaking platforms, and UGC video production deliverables.
2. Services & Campaign Execution
The Viral Matrix agrees to execute creator campaigns and deliver high-retention video assets according to mutually approved campaign blueprints.
- Turnaround timelines (typically 7–14 business days) begin upon receipt of physical product samples by contracted creators and final brief sign-off.
- Every UGC sprint deliverable includes 3 distinct 3-second opening hook variations per creator.
3. Commercial Rights & Whitelisting
Upon full payment of invoice fees, Client is granted a worldwide, perpetual, non-exclusive commercial license to use delivered video assets across digital advertising platforms (Meta Ads, TikTok Spark Ads, YouTube Shorts, Google Ads) and brand-owned organic channels without recurring royalty fees.
4. Brand Review & Revision Cycles
Clients access an interactive Brand Review Portal to review initial rough cuts. Standard deliverables include up to 2 rounds of creative revisions (e.g. text subtitle tweaks, audio adjustments, and cut adjustments) adhering to original brief specifications.
5. Creator Standards & Replacement SLAs
If a contracted creator fails to meet strict quality benchmarks or deadlines, The Viral Matrix guarantees immediate replacement with an equivalent vetted creator at zero additional expense to the client.
6. Billing, Payments & Retainers
Campaign sprint packages require 50% deposit upon brief approval and 50% upon final deliverable sign-off. Monthly growth retainers are invoiced on the first of each active billing cycle.
7. Limitation of Liability
While our video hook frameworks are engineered on algorithmic best practices, social media platform algorithms and ad auction CPMs are subject to market conditions. Company liability shall not exceed total fees paid under the specific statement of work.
8. Governing Law & Jurisdiction
These Terms shall be interpreted and governed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts of New Delhi.
